Merger of NetModule GmbH and Hirschmann Automation & Control GmbH

Dear valuable business partner,

NetModule GmbH will be merged with Hirschmann Automation and Control GmbH with the entry of the merger in the Commercial Register, with the aim of simplifying group structure. As it is not clear when the merger will be entered in the commercial register, we have requested a simplification rule from the relevant tax offices, according to which the implementation can take place as of September 1, 2023, and assume that this request will be granted.

NetModule AG will continue to exist as an independent legal entity.

This structural measure within the Belden Group has an impact on your contractual relationship with NetModule GmbH.

As a result of the merger, all assets and contractual relationships will be transferred to Hirschmann Automation and Control GmbH by operation of law and NetModule GmbH will be deleted from the commercial register when the merger takes effect. As a result, the existing contract between you and NetModule GmbH will also be transferred to Hirschmann Automation and Control GmbH and continued by it. Therefore, nothing will change for you except for the details of your future contractual partner after the merger becomes effective (see below).
